Services

Services are described in a mutually signed statement of work identifying scope, deliverables, schedule, dependencies, and fees. This agreement governs all statements of work unless superseded in writing.

Fees and expenses

Fees may be fixed, retainer, or milestone based. Pre-approved travel and out-of-pocket expenses are billed at cost. Invoices are due net 15 unless otherwise stated.

Client responsibilities

The client provides timely access to stakeholders, data, systems, and approvals. Delays caused by unavailable dependencies may shift the schedule and fees.

Ownership

Client-specific deliverables transfer to the client on full payment. Pre-existing methodologies, frameworks, templates, and tools remain ours, licensed to the client for internal use.

Changes and termination

Scope changes require a written change order. Either party may terminate for convenience with 15 days' notice; the client pays for work performed and non-cancellable commitments.

Non-solicitation and independence

We serve as an independent contractor, not an employee or agent. Neither party solicits the other's personnel during the engagement and for six months after. [Placeholder — confirm enforceability with counsel.]
